Amend charter of a non governmental organization

Our company has been assisting with the procedure of amending the NGO's Charter for over 10 years. For our new clients, we prefer to develop the Charter from scratch, fully providing for the structure of the organization itself, the rules of admission of participants and their withdrawal, and any controversial issues in advance.

For those who turn to us when it is necessary to make changes in the organization itself, we also analyze the Charter for compliance with the latest legal requirements, primarily Ukrainian, but, if necessary, international as well.

There is a list of standard situations that require modifications. We have carried out such procedures dozens of times. The main thing is that we know what can be changed at the same time, what procedures are better spaced out in time, and what delays and problems can arise in principle.

Where do we start?

Of course, we start with a consultation. We need to understand exactly what you want to change, why, and most importantly - how it could in theory affect the structure of the whole organization. Understanding, for example, why you want to make the change - for additional security, there is a change of management, etc., will give us more information on how exactly to make the change and whether the whole Charter needs to be looked at more deeply.

An important detail is that if your NGO has existed in Ukraine for a long time, there are real risks that your Charter is not up-to-date. This means that it is not enough just to make 1-2 additions, you need to revise the Charter as a whole.

Important to know

NGO project charter in Ukraine

This document delineates the rights and responsibilities of the organization's members, the decision-making process, the management structure, and other critical aspects. Therefore, proper drafting of the charter ensures that the organization operates in accordance with applicable laws and effectively fulfills its objectives. Of course, if the provisions of the Charter are ambiguous or, even worse, formulaic, this can lead to problems. In our practice there was a case when the founder of an NGO simply lost her place in management because of an incorrectly drafted Charter at the start.

One of the biggest mistakes in terms of the Charter is complex wording that in a crisis situation only hinders the organization's management from solving the problem. Even if you want to create a complex system of governance, you can put it all down on paper in simple language and turn it into a tool that the governing bodies can understand. Remember, the Charter is the constitution of the NGO, it is the document you will refer to in any crisis, which means it should protect you as much as possible and provide for solutions to such problems up front.

Our lawyers always have their finger on the pulse and, working on each project, bring the NGO Charter into a form that will not only be convenient, but also safe to use.

Do you want to amend the NGO Charter? Leave it to the professionals!
