Our firm helped to close Ukrainian office of company based in Cyprus

In 2012 a foreign company (registered in Cyprus) requested our services in regard to closure of its Ukrainian office. It required legal assistance concerning the liquidation procedure. By the time the company contacted us, it has already approved the decision on dissolution. The decision was properly certified by means of apostille as well as translated in Ukrainian but the liquidation procedures were pending.

Attorneys of our law firm supported the entire liquidation procedure.

Our lawyers organized publication of information concerning closure of Ukrainian office in official periodicals. In that particular situation it was not necessary to contact creditors of the client.

After that our firm helped to dismiss employees of the office as well as helped to close bank accounts.

The office was also deregistered with:

1. tax authorities;

2. pension fund;

3. social insurance funds;

4. employment office;

5. customs authorities.

It should be noted that deregistration with the tax authorities requires conduction of unscheduled audit which in Ukraine takes at least one year. In that particular situation our lawyers managed to complete the whole deregistration procedure with tax inspection (including organization and conduction of audit) within 5 months.

Officials of the Funds also had no questions in regard to liquidation because accounting and legal support of activities of the office was performed in a proper manner. Also, dealing with the funds was easier because client did not have any debts.

Upon completing deregistration with the abovementioned authorities we got the official confirmation from the Ministry of Economic Development and Trade of Ukraine about deregistration from the register of representative offices.
