Helped our client from the US to form corporation in Ukraine

In August of 2014 a foreign individual (citizen of the USA) who was interested in doing business in Ukraine contacted our law firm in regard to legal support of all the necessary procedures. He wanted to register limited liability company in Kiev and become the only founder/member as well as CEO.

The key issue of all the future LLC registration procedures was brought up to the client by corporate law attorneys during legal advising stage. The thing is, Ukrainian legislation in force does not allow to register legal entity in Ukraine which would be headed by a foreign CEO since the day of its incorporation. But similarly to all other cases when foreigner wanted to establish corporation in our country, we offered services of nominal manager. This means that we provide a trustworthy Ukrainian citizen who would be in charge of company’s business affairs until the foreign CEO gets his work permit for employment in Ukraine.

Our lawyers provided legal support of all the related procedures. In particular we:

-       provided legal advices in regard to registration of legal entity in Ukraine;

-       had our client registered as taxpayer in Ukraine and got his Individual Taxpayer Identification Number certificate (ITIN) which is required for subsequent registration of corporation;

-       prepared and filed with the registration authorities all the required documents which among other things included charter of company (articles of incorporation);

-       provided nominal CEO (citizen of Ukraine) whose name is subject to inclusion in the official state register when company undergoes registration procedures (Ukrainian laws do not allow to create company without chief executive officer). If required such nominal CEO can perform certain duties concerning commercial activities of enterprise while permanent (foreign) CEO is receiving work permit and residence permit;

-       subsequently obtained work authorization document and temporary residence permit for the foreigner to be able to work and live in Ukraine;

-       registered substitution of manager in the official state register of legal entities.

Our major advantage was in ability to complete all registration and related procedures within shortest possible term with minimum of our client’s participation. In most cases we performed all legal work based on power of attorney and would request presence of the client only when the law strictly required such.
